Our attorneys represent private and public companies, as well as private equity clients, in both buy-side and sell-side transactions. We represent parties acting as buyers, sellers, stockholders, venture capitalists, lenders, financial advisors, management, founders, investors, and private equity funds. Private Equity
BHGR works extensively with private equity clients as both buyers and sellers, including portfolio company add-on acquisitions and ultimate exits. The group’s relationships with PE fund sponsors, management teams, and lenders give them a distinctive vantage point on market deal terms and transaction dynamics.
Venture Capital + Startup Transactions
The team advises entrepreneurs and emerging growth companies on M&A from early stage through exit, including representing startups and closely held businesses in company sale transactions of all sizes. Attorneys also work with venture capital investors on the acquisition side of their portfolio strategies.
Due Diligence + Transaction Structuring

By way of example, we have assisted clients in software, manufacturing, distribution, oil and gas, mining, construction, technology, media and entertainment, marketing services, healthcare, food and beverage, consumer packaged goods, and marine transportation industries. Of note, we have represented:
- A private equity firm in the purchase of an industry-leading manufacturer of aluminum and steel products for a variety of end market applications.
- The seller of mission-critical industrial equipment (PDCs and Edge Data Centers), as well as prefabricated pump stations, LACT stations, custody transfer metering, UL-listed PLC panels, and more, in the sale of substantially all its equity to a company offering concept-to-completion project solutions via modularization, unitization, and preassembly specialized plant facilities throughout the world.
- The buyer of one of the region’s largest sheet metal fabricators and industrial contractors, with fabrication capabilities including shearing, punching, plasma, oxyacetylene and laser cutting, plate and shape rolling, and welding of carbon steel, stainless steel, alloys, and aluminum. This transaction presented interesting environmental and real estate challenges relative to its size.
- The nation’s largest producer of grand-format digital graphics in the purchase of all the equity of an online print service.
- The purchaser of a business making precision machined parts and assemblies for medical devices and aerospace applications.
- A private equity firm in the purchase of substantial assets of a manufacturer, designer, and installer of standard and custom structural glass and skylights.
- The seller of a business engaged in the manufacture, assembly, and subassembly of stock tube, custom tube, and fabricated tube used in the medical, aerospace, nuclear, and oil and gas industries for $18 million dollars.
- A private equity-backed portfolio company that is a leading supplier of cut and stack, pressure-sensitive, roll-fed, and shrink sleeve labels in North America in 5 add-on acquisitions and then ultimately in the sale of the portfolio company.
- A public company in its acquisition of a manufacturer of plant-based beverages, creamers, cultured products, and frozen desserts.
- The sellers of a company specializing in the design, manufacture, and sale of spray finishing equipment.
