Mergers & Acquisitions
Josh represents private companies, public companies, private equity firms, business owners, and financial institutions in both buy-side and sell-side transactions. He has handled deals ranging from tens of thousands to more than a billion dollars in value, with experience across a wide range of industries, including healthcare, technology, financial services, agriculture, oil and gas, real estate, and industrial businesses. His deal work spans the full transaction lifecycle, from letter of intent through closing, including asset purchase agreements, stock purchase agreements, merger agreements, and membership interest purchase agreements, as well as diligence management and ancillary transaction documents.
General Corporate
Josh advises clients on entity formation and choice of entity, corporate governance, operating agreements, bylaws, stockholders, and buy/sell agreements, equity financings, and general commercial contracts. He has counseled startups through Series Seed financings, negotiating with investors and finalizing investment documents, and has guided established businesses through internal restructurings and third-party commercial arrangements.
Relevant Work Experience
Josh spent several years in private practice at national firms in Denver, where he represented Fortune 25 companies, private equity firms, and technology and healthcare clients in high-value M&A transactions. He represented a Fortune 25 health and well-being company in more than half a dozen acquisitions ranging from $400 million to $1.2 billion in value, served as lead M&A counsel on a $300 million disposition to a private equity purchaser, and guided a technology company through a Section 363 bankruptcy sale process.

Josh was a varsity football player at the University of Sioux Falls and later served as a student assistant football coach.

Outside the office, Josh is an avid woodworker and a devoted Notre Dame football fan. He most enjoys time spent with his two children, Quinn and Wyatt. Josh has also served as an interim professor of U.S. History and American Federal Government at the University of Sioux Falls.
