Sarah’s practice focuses on mergers and acquisitions, securities and capital markets, and general corporate law. Sarah advises businesses, investors, and founders on mergers and acquisitions, securities matters, corporate governance, and strategic business transactions. Drawing on experience in both private practice and as in-house counsel for a public company, Sarah helps clients navigate complex transactions while providing practical, business-focused advice tailored to their operational and growth objectives.

MERGERS & ACQUISITIONS

Sarah has significant experience with a diverse portfolio of businesses in lower- to middle-market M&A transactions. She has worked on a wide variety of asset and equity purchases, private equity transactions, joint ventures, restructures and spin-offs, and other strategic transactions. Sarah has experience across a broad spectrum of industries, including the healthcare, software and technology, retail, restaurant, hospitality, cannabis, manufacturing, and financial services industries. She routinely assists clients through all stages of a transaction, including structuring, due diligence, negotiation, documentation, and post-closing integration matters.

SECURITIES & CAPITAL MARKETS

Sarah advises public and private companies on a wide range of securities law matters, including ‘33 Act, ’34 Act, Section 13 and Section 16 compliance, private placements, debt and equity financings, corporate governance, and ongoing disclosure obligations. Her experience includes advising NYSE-, Nasdaq-, and OTC-listed companies on public company reporting, SEC compliance, corporate governance matters, and private capital-raising transactions. Having served as in-house counsel for a public company and as outside securities counsel for a number of public and private clients, Sarah brings a practical understanding of the operational, financial, and regulatory challenges companies face when navigating securities law compliance and strategic growth initiatives.

GENERAL CORPORATE

Sarah serves as outside corporate counsel to businesses at every stage of growth. She advises clients on entity formation and structuring, governance matters, shareholder and operating agreements, commercial contracts, and day-to-day business operations. With academic and professional training in accounting and finance, Sarah is particularly skilled at helping clients evaluate legal issues within the broader financial and operational context of their businesses.

In addition to her work in private practice, Sarah is an Adjunct Professor at the University of Tennessee College of Law, where she teaches Finance & Accounting for Lawyers.

Sarah graduated Summa Cum Laude from law school and is a member of the Order of the Coif. She also worked as the Acquisitions Editor on the Tennessee Law Review.

In graduate school, Sarah earned a Master of Accountancy with a concentration in taxation. During this time, Sarah also worked at a Big 4 accounting firm, Deloitte & Touche, where she learned tax accounting fundamentals.

When she’s away from the office, Sarah can usually be found on a hiking trail with her dogs, planning her next shark diving adventure, cheering on the Tennessee Volunteers, or disappearing down a rabbit hole about corporate fraud and financial misconduct.
