Pat is known for doing sophisticated legal work, finding creative business solutions, and working with clients and opposing counsel to accomplish complicated business transactions.
Pat represents emerging and established companies in commercial business transactions, including mergers and acquisitions, contracting, licensing, and loan transactions.
MERGERS + ACQUISITIONS
Pat has successfully represented clients on complicated deals worth as much as half a billion dollars in transaction value. He has represented both buyers and sellers, including companies, founders, management, shareholders, and private equity funds. His clients work in all types of industries, including information, software, renewable energy, manufacturing, mining, restaurant, craft brewing, and technology industries.
GENERAL BUSINESS
Pat provides general business legal services, advising his clients on choice of entity and entity formation and preparing by-laws, operating agreements, and shareholder agreements. He also counsels his clients on business management and operations, with an emphasis on strategic development and alliances. Pat drafts and negotiates commercial contracts of all kinds, including leases and distribution, licensing, manufacturing, master services, consulting, independent contractor, supply, and vendor agreements. In addition, he advises clients on each step of the process of developing, managing, protecting, and commercializing intellectual property, including copyrights, patents, and trademarks.
LOAN TRANSACTIONS
Pat represents clients in need of private and commercial financing. He has extensive experience negotiating and drafting credit and loan agreements, deeds of trust, promissory notes, and security agreements.
RELEVANT WORK EXPERIENCE
After law school, Pat served as a law clerk to The Honorable Robert McWilliams, U.S. Court of Appeals for the Tenth Circuit. When he finished clerking, he worked at the large regional firm of Holme Roberts & Owen, first as an associate and later as a partner. He left HRO after eight years and founded the Boulder office of the international law firm of Hogan Lovells, serving as partner from 1999 to 2010. He joined BHGR as a partner in January 2011.

Pat gives presentations to his clients’ contract managers and paralegals on contract negotiations. He also educates clients’ employees on how to review purchase and sale and other commercial agreements.

OUT + ABOUT
Outside of the office, you will find Pat rock climbing, skiing, snowboarding, and traveling with his wife and sons. As a former professional tennis player, Pat still plays tennis competitively. He also holds a Black Belt in Tae Kwon Do and Brazilian Jiu Jitsu and plays guitar in a band.
