Our Corporate Group helps entrepreneurs, private equity and venture capital investors, and emerging and established businesses achieve their unique corporate, financial, and transactional objectives and goals. We are a full-service practice group, offering legal services in the areas of mergers and acquisitions, business organization, general corporate matters, commercial leases and contracts, financing arrangements, loan and credit agreements, and other business transactions such as equity financings, intellectual property, licensing, supply and manufacturing agreements, privacy and data security, and data transfers.

General Corporate
Our attorneys provide a wide range of general corporate services, including assistance with choice of entity, business formation, corporate governance, strategic planning and alliances, reorganization and restructuring, commercial arrangements, and securities law matters. We also negotiate, draft, and review commercial contracts of all kinds. These include leases, distribution agreements, licenses, and joint venture, manufacturing, master services, consulting, independent contractor, supply, and vendor agreements.
Financing
Our attorneys represent clients in need of private and commercial financing. We have extensive experience negotiating and drafting credit and loan agreements, deeds of trust, promissory notes, and security agreements as well as capital raising through the sale of convertible debt, SAFEs, and common and preferred stock sales. We also assist angel investors and venture capital investors, investing in private companies.
Government Contracting
From proposal drafting through the successful conclusion of projects, our attorneys have considerable experience representing contractors in all phases of government contracting with federal, state, regional, and local authorities.
Mergers & Acquisitions
Our attorneys represent private companies, public companies, and private equity clients in both buy-side and sell-side transactions. We represent parties acting as buyers, sellers, stockholders, venture capitalists, lenders, financial advisors, management, founders, investors, and private equity funds. In addition, we serve as primary corporate counsel to numerous private and public companies, giving our group a broad perspective on market deal points.
Intellectual Property & Licensing
Our attorneys work with our Intellectual Property Group to advise clients on each step of the process of developing, managing, protecting, and commercializing intellectual property, including copyrights, patents, and trademarks. We also assist clients with licensing agreements of all types.
Privacy & Data Security
We advise clients on compliance with privacy laws in the U.S., EU, U.S., and U.K., including work related to privacy policies, data collection and processing practices, data processing contracts, and data breach responses and risks. Our attorneys also negotiate, draft, and review agreements for domestic and international data transfers.
