Todd counsels clients in a broad array of business matters, including choice of entity, entity formation, corporate governance, fiduciary duties, stock option plans, private placements, financing, strategic investments, business optimization, debt or equity offerings, and general commercial and contract matters. He negotiates, drafts, and reviews all types of corporate agreements, including employment agreements, non-compete agreements, and non-disclosure agreements.

Todd represents private companies, business owners, private equity clients, and individuals on both buy-side and sell-side transactions. His transactional experience spans multiple industries, including healthcare, recruitment, marketing, advertising, telecommunications, and manufacturing.
relevant work experience
Prior to becoming an attorney, Todd served in the U.S. Army. After completing his military service, he worked as a corporate executive (CEO, COO, and CCO), board director, and shareholder of several companies. He is well-versed in financial planning, strategic business plans, marketing, sales plans, and investments throughout the financing lifecycle. As a result, Todd understands the opportunities and challenges that companies face and is uniquely suited to identify and help his clients accomplish their business objectives.
